By accessing and using the WA Product, you agree to the terms of this Agreement:
This End User Licence Agreement (“Agreement”) governs the use of any Wavelet Audio software, audio content, and other intellectual property provided by Wavelet Audio TOO (hereafter “WA”) to the end-user (“Purchaser”). Please read carefully and accept the terms and conditions of this license agreement before purchasing, downloading, installing, and using any Wavelet Audio product located in the Wavelet Audio website store (software product) (hereafter the “WA Product”).
1. License Agreement
This license to use the WA Product is granted to a single user only. WA Product is licensed, and not sold, to the Purchaser. WA retains ownership of the WA Product, including all associated intellectual property, recorded and sampled sounds, programming, audio demos, and accompanying documentation, in perpetuity and all jurisdictions. WA owns the copyright and all intellectual property rights in the WA Product, which is protected by all relevant copyright laws and treaties.
The Purchaser is licensed to download and use the WA Product, subject to the terms and conditions of this End User License Agreement («Agreement”), for both non-commercial and commercial use in the creation, production, and broadcast of music and sound effects, without the payment to WA of any additional fees or the requirement for attribution.
2. Rights:
WA retains full copyright privileges and complete ownership of all recorded sounds, instrument programming, documentation, and musical performances included in WA Product.
3. Restrictions to Alteration and Use of WA Product
The Purchaser is NOT permitted, at any time, or under any circumstances, to modify the WA Product or create any derivative work of the WA Product or its accompanying documentation. Using the sample in isolation (taking a single sample from Wavelet Audio and not using the sample with other audio elements for the whole composition) for commercial use is prohibited. The material may not be extracted and used in isolation in any way and derivative works include but are not limited to commercially available samples, new sample libraries, or virtual (digital) instruments, including but not limited to resampling, mixing, processing, isolating, or embedding into software or hardware. Furthermore, you may NOT decompile, «reverse-engineer», disassemble, or otherwise attempt to derive the source code for WA Product.
4. Restrictions on Copy or Transfer
The license is granted to a single user (Purchaser). A second copy may be made by the same registered user from their hard drive and installed on a subsequent machine for their use. A third copy may be made and stored for back-up and reinstallation. Licenses cannot be transferred to another entity, without the written authorization of WA. The Purchaser may NOT assign their rights and obligations under this Agreement, or copy, redistribute, encumber, sell, rent, lease, sub-license, or otherwise transfer their rights to the WA Product.
The Purchaser may only use WA Products within music compositions and sound production. Using these samples to create new materials for standalone sound products, such as sample libraries, is strictly prohibited. Using our audio samples as layers to create new materials for a new sound sample product and then sell or distribute them is prohibited. The licensed products are for personal and commercial use in music compositions only. They cannot be used to create new products/sample libraries or sold as standalone products. Redistribution or modification of the content without prior written permission is prohibited.
5. Refunds
Due to the nature of digital products, all sales are final. Refunds are not available once the WA Product has been downloaded. We may, at our sole discretion, consider exceptions. For any issues regarding Native Instruments Kontakt support, please contact Native Instruments directly.
6. Responsibility and Limitation of Liability:
7. Governing Law, Jurisdiction and Costs
This Agreement shall be governed by and construed in accordance with the laws of the Republic of Kazakhstan, excluding its conflict of laws principles.
